At the $250,000 minimum, allocations scale down proportionally (full table in the Form C). Acquisition spend is killed, not scaled, if cost-per-customer exceeds $80.

How this offering works (Regulation Crowdfunding)
The investment campaign will be conducted under Regulation Crowdfunding (Section 4(a)(6) of the Securities Act) exclusively through a FINRA-registered funding portal (to be announced). Before the campaign opens, Morrow will file a Form C with the U.S. Securities and Exchange Commission containing the offering terms, financial statements (CPA-reviewed), risk factors, and company disclosures. The Form C and our annual reports (Form C-AR) will be publicly available on the SEC's EDGAR system and linked from this page.
Key risks (summary — the Form C contains the full list)
- Single-founder key-person risk — mitigated by documentation-heavy, AI-assisted development, but not eliminated.
- Early stage: pre-launch, no operating history; all projections are estimates that may prove wrong.
- Platform dependence on Google/Microsoft APIs, app stores, Supabase, Vercel, and Anthropic.
- Well-funded competitors could bundle similar functionality or cut prices.
- These securities are illiquid: no resale for one year, no market expected, the SAFE may never convert.

About the product
When does Morrow launch?
Phase 1 (the daily planner, web + iOS + Android) targets January 2027. Founding backers get beta access before public launch.
What ships in Phase 1?
The daily planning ritual, two-way Google/Microsoft calendar sync, timeboxing, weekly objectives, Pomodoro focus, AI-assisted planning, and the evening shutdown — on web, iOS, and Android with billing live.
Is my data safe?
Workspace-level isolation with row-level security, encrypted OAuth tokens, an immutable audit log, and AI that reads only your own material. We never sell data.
Who's building this?
A solo founder with an AI-native development process. The architecture, database, brand system, and working milestones are already shipped — the weekly build log is public proof.
What if the company can't finish the roadmap?
The bootstrap plan is default-alive: fixed costs are a few hundred dollars a month and break-even is roughly 150 subscribers, so the product doesn't depend on this raise to survive — the raise buys speed.
About investing
What exactly am I buying?
A Crowd SAFE (Simple Agreement for Future Equity): the right to equity when Morrow raises a priced round or is acquired, at the better of the valuation cap or the discount. It is not stock today, pays no dividends or interest, and has no maturity date.
What are the terms?
Final terms appear in the Form C filed with the SEC before the campaign opens. Working terms: valuation cap in the low single-digit millions, 15% discount, $100 minimum investment. Nothing on this page is an offer; the offering is made only through the funding portal once Form C is filed.
How much can I invest?
Regulation Crowdfunding sets personal limits based on your income and net worth — the funding portal calculates and enforces yours during checkout. Accredited investors have no limit.
Can I change my mind?
Yes. You may cancel for any reason up to 48 hours before the campaign deadline for a full refund. If we make a material change to the offering, everyone must reconfirm.
What if the campaign doesn't reach its target?
If we don't reach the $250k minimum by the deadline, every investment is returned in full. Founding-member presales (the $99/$299 tiers) are separate and only charged when we ship your access.
Are the perks part of the investment?
No — backer perks (badges, lifetime Pro, roadmap calls) are thank-you gifts disclosed in the offering, not financial returns. Presale tiers are product purchases, not securities.
Can I sell my SAFE?
Generally not for one year (securities law restriction), and realistically not until a conversion or liquidity event. Treat this as a long-term, high-risk investment you can afford to lose.
Where can I verify the filing?
Once filed, our Form C and annual reports will be public on the SEC's EDGAR system, and linked here. All investor Q&A happens publicly on the funding portal so every investor sees the same information.
